These Terms of Service (“Terms”) govern your access to and use of the website and products provided by The Smith Syndicate, LLC (“The Smith Syndicate,” “we,” “us,” or “our”), including SKBD, Kinloom, and Omniira. By accessing or using our website or products, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, subscribing, or otherwise using our website or products (collectively, the “Services”), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

You must be at least 13 years old (or the age of digital consent in your jurisdiction) to use the Services. Certain Services may have additional age or eligibility requirements, which will be presented where applicable.

3. Accounts

5. Subscriptions and Payments

Some Services are offered on a paid basis. Fees, billing cycles, and renewal terms will be disclosed at the point of purchase. Payments are processed by a third-party payment processor. Unless otherwise stated or required by law, fees are non-refundable. We may change our fees with reasonable notice.

6. Intellectual Property

The Services, including all software, text, graphics, and logos, are owned by The Smith Syndicate or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms.

7. Your Content

You retain ownership of content you submit to the Services. You grant us a limited license to host, store, and process that content solely to provide and improve the Services. You are responsible for the content you submit and represent that you have the rights to do so.

The Services may link to or integrate with third-party services that we do not control. We are not responsible for the content, policies, or practices of third-party services, and your use of them is at your own risk.

9. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.

10. Limitation of Liability

To the maximum extent permitted by law, The Smith Syndicate will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed the amount you paid us for the Services in the twelve months preceding the claim.

11. Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms or to protect the Services or other users. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

12. Governing Law

The Smith Syndicate, LLC is organized under the laws of the State of Delaware and operates from Pennsylvania and New Jersey. These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any disputes will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
